Corporate Governance Coordinator (Temporary Part-Time)

Overview
We are seeking a detail-oriented and highly organized Corporate Governance Coordinator to provide part-time support to our Legal and Corporate Governance team. This role is ideal for someone with a background in legal administration, corporate governance, or executive support who thrives in a dynamic environment.
This temporary/contract position is based in San Diego CA and offers flexible hours, with increased availability required during peak board season (typically one month prior to quarterly board meetings).
What You’ll Be Doing
Corporate Governance Support
- Maintain and file U.S. company and local office business licenses, qualifications, and registrations (e.g., Statements of Information, Franchise Tax Returns, etc.).
- Prepare and maintain corporate records for U.S. company and subsidiaries.
- Support documentation and maintenance of intercompany agreements.
- Develop and implement filing procedures and coordinate with Finance team to ensure accuracy of corporate records.
- Provide back-up support for insider trading compliance, including Section 16 reporting and approvals.
Corporate Secretary Support
- Draft quarterly Committee and Board meeting agendas.
- Prepare supporting materials for Board meetings and corporate actions, including resolutions, meeting minutes, written consents, and director compensation plan elections.
Administrative Support
- Provide general administrative and back-up support for legal department initiatives, including litigation, brand protection, and contract management.
- Schedule and prepare agendas for internal team meetings and celebrations.
What You’ll Bring To The Role
- Associate’s degree or equivalent experience in legal administration, business, contracts, or related field.
- 2+ years of experience in corporate governance, legal support, or executive administration.
- Strong organizational skills and attention to detail.
- Proficiency in Microsoft Office Suite (Word, Excel, Outlook, PowerPoint).
- Ability to handle confidential information with discretion.
- Excellent written and verbal communication skills.
- Experience with document management systems, compliance tracking tools, and/or legal entity management systems is desirable.
- Availability to work increased hours during peak board times.
Total Rewards
$20-35/hour depedning on multiple factors including relevant experience, knowledge, skills, and other job-related qualifications.
